Autel Charge Operating Platform Service Agreement

In order to use the Autel Charge Operating Platform (hereinafter referred to as the "Platform"), you should read and abide by the "Autel Charge Operating Platform Service Agreement" (hereinafter referred to as the "Agreement"). This Agreement is a valid contract between Autel New Energy Co., Ltd. and its affiliates (hereinafter referred to as "Autel") and all users of this Platform for the use of this Platform and related services. Please be sure to read carefully and fully understand the content of each clause, especially the clauses that exempt or limit liability. The above clauses may be in bold to remind you. Unless you have read and accept all the terms of this Agreement, you are not authorized to use this Platform and related services. When you log in to this Platform or use any services of this Platform, it is deemed that you have read and agree to all terms of this Agreement and are bound by this Agreement. This Agreement applies to any service of this Platform, including various services used by users within the term of this Agreement and the upgrade and update of this Platform.

1.1 The ownership of the account on this Platform (that is, the user ID of the "Autel Charge Operating Platform") belongs to Autel. After you subscribe to use this Platform, Autel will provide you with a login account of this Platform, and you only get the right to use the account, and the user right only belongs to the Platform subscribers.

1.2 The account of this Platform is limited to your personal use, and you shall not give, borrow, lease, transfer or sell the account to any third party or otherwise permit non-subscribers of the Platform to use the account. If you authorize others to use the login account, you shall be fully responsible for all actions performed by the authorized person under the account.

1.3 If Autel finds or has reasonable reasons to believe that the account user is not a subscription user of this Platform, in order to ensure the security of the Platform account, Autel has the right to immediately suspend or terminate the use of the account, and has the right to permanently disable the account.

1.4 Even without your authorization, you are still responsible for all access and use of this Platform using your account and password. If you believe that your account has been leaked, lost or stolen, or that an unauthorized third party is or may be trying to access or use this Platform through your account, please be sure to immediately send an email to service@auteltech.net or call Europe: +49(0)89 540299608; US: 1-855-288-3587 to inform Autel.

1.5 You can only obtain an account on this Platform through Autel or a third party authorized by Autel. If you do not obtain an account on this Platform through the above method, Autel does not guarantee that this Platform can be used normally, and any losses you suffer as a result have nothing to do with Autel.

2.1 This Platform is for charging management and energy storage management and other related business.

2.2 Unless otherwise expressly agreed in this Agreement, any new functions and new services launched by this Platform shall be regulated this Agreement.

2.3 You fully understand and agree that in the process of using the services of this Platform, in order to improve the adaptability of the Platform and identify the abnormal status of the account, Autel may automatically identify or collect relevant information on the Platform interface, including but not limited to: transactions, volume (kWh), turnover, total customers, charging facilities, connector status, volume statistics (kWh), volume statistics trend. Autel guarantees that it will not disclose the above information to any third party or use the above information in other business activities outside this Agreement.

3.1 You may not use this Platform and related services for any illegal purpose or prohibited by this user Agreement, and you may not use this Platform or any content to infringe the rights of other entities or individuals.

3.2 You may not use any ‘deep linking’, ‘crawling pages’, ‘robots’, ‘crawlers’ or other automatic devices, programs, algorithms, methods or any similar or identical manual procedures to access, obtain, copy or monitor any part of the Platform or any content, to obtain or attempt to get any material, document or information in any manner not expressly provided by this Platform. Autel reserves the right to prohibit any such conduct. You may not attempt to access or use any part of the Platform or its functionality without authorization in any unlawful manner. You may not launch any form of cyber-attack on the application.

3.3 If Autel has reason to believe that your behavior violates or may violate the above Agreement, Autel can independently judge and deal with it, and has the right to terminate the provision of services to you at any time without prior notice, and pursue relevant responsibilities in accordance with the law.

4.1 You fully understand and agree that this Platform may use third-party technologies or related services, and Autel does not make any express or implied guarantees for the security, legality and non-infringement of third-party technologies or related services.

4.2 When you use the technology and related services provided by third parties on this Platform, in addition to abiding by this Agreement and related rules, you may also need to fully read and agree to the Agreements and related rules of the third party.

4.3 If any disputes, losses, damages or claims arising from third-party technology and related services are resolved by you and the third party, Autel does not assume any responsibility to you or any third party for this.

5.1 You fully understand and agree that Autel has the right to cancel or terminate your account or the use of this Platform (or any part of the Platform services) if Autel believes that you have violated this Agreement, and any related content will be removed and deleted. You agree that the services provided in accordance with this Agreement may be interrupted or terminated without Autel prior notice; you acknowledge and agree that Autel may close or delete your account and all related information and document in your account at any time, and/or prohibit you from continuing to use the aforementioned documents or the services of this Platform. In addition, you agree that if the use of the Platform services is interrupted or terminated or your account and related information and files are closed or deleted, Autel will not be liable to you or any third party.

5.2 You fully understand and agree that Autel has the right to punish violations of relevant laws and regulations or the provisions of this Agreement according to reasonable judgment, take appropriate legal actions against any user who violates laws and regulations, and save relevant information in accordance with laws and regulations to report to relevant authorities and so on. The user shall bear all the legal responsibilities arising therefrom.

5.3 If a third-party complaint, lawsuit or claim is caused by your violation of the provisions of this Agreement, you shall handle it yourself and assume all legal responsibilities that may arise therefrom. If Autel and its affiliates compensate any third party or are punished by state authorities because you practiced illegal deed or breached the contract, you should also fully compensate Autel and its affiliates for all losses suffered as a result.

6.1 Autel is the intellectual property right holder of this Platform. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of this Platform, as well as all information content related to this software (including but not limited to text, pictures, audio, video, graphics, interface design, layout framework, related data or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. You may not reproduce, alter, copy, send or use any of the foregoing materials or content for any purpose without the written authorization of Autel.

6.2 The Platform name is Autel Charge and all rights contained in this Platform name and logo (including trade names and trademarks) are owned by Autel. You are not allowed to use any trade name or trademark belonging to Autel outside this Platform.

6.3 You may not implement, utilize or transfer the above intellectual property rights for any commercial or non-commercial purpose by yourself or by permitting any third party without the written consent of Autel.

6.4 Without the authorization of Autel, you may not reverse engineer, decompile or disassemble this Platform and any intellectual property related to this Platform or discover the original code of this Platform in other ways, or carry out any suspected copyright infringement.

7.1 You understand and agree that factors such as force majeure (force majeure refers to objective events that cannot be foreseen, overcome and unavoidable) may be encountered in the process of using the relevant services of this Platform, including but not limited to pandemic, government actions, natural disasters (such as floods, earthquakes, typhoons, etc.), network causes, wars, strikes, riots, etc. In the event of the above-mentioned force majeure situation, Autel will try to repair it as soon as possible, but Autel is exempted from liability to the extent permitted by laws and regulations for the suspension, suspension, termination of service or any loss caused by force majeure.

7.2 You fully understand and agree that Autel needs to repair or maintain the Platform or related equipment that provides services on a regular or irregular basis. If the service of this Platform is interrupted within a reasonable time due to such a situation, Autel shall not be liable for it, and Autel has the right to suspend any service for repair, maintenance, upgrade or other purposes, but Autel shall give advance notice as far as possible.

7.3 You fully understand and agree that Autel may change the services of this Platform or delete some of its functions due to unforeseeable reasons in advance. Before suspending or terminating the service, Autel will use its best efforts to notify you through reasonable means. If Autel has informed it in a reasonable way, Autel does not need to assume any responsibility to you or any third party.

7.4 Autel shall not be liable for the following: (A) Any negative effects on your computer system in any way due to computer viruses, or other malicious software, programs, codes, etc., or cause your system to crash or have other technical problems; or (B) the use of any third-party application or service in providing or accessing the Platform, any act, omission or negligence of such third party.

7.5 Under any circumstances, Autel will not be liable for any indirect, special, incidental, punitive or consequential losses or loss of profits caused by your use of the services of this Platform.

8.1 By logging in or using this Platform, you are deemed to have read and agree to be bound by this Agreement. Autel has the right to modify the terms of this Agreement when necessary. You can check the terms of the latest version of this Agreement on the Platform login interface. After the terms of this Agreement are changed, if you log in or continue to use this Platform, you are deemed to have accepted the revised Agreement. If you do not accept the revised Agreement, you should stop logging in or using this Platform.

8.2 The place where this Agreement is signed is Nanshan District, Shenzhen, Guangdong Province, the People's Republic of China.

8.3 The conclusion, execution and interpretation of this Agreement and the settlement of disputes shall be governed by Chinese laws and subject to the jurisdiction of Chinese courts. If there is any dispute between the two parties regarding the content of this Agreement or its implementation, both parties shall try their best to resolve it through friendly negotiation; if the negotiation fails, either party may file a lawsuit with the people's court where Autel is located.

8.4 This Agreement may exist in both Chinese and English versions. If there is any conflict between the Chinese version and the English version, the Chinese version shall prevail.

8.5 For any reason, if the terms of this Agreement are partially invalid or unenforceable, the remaining terms are still valid and binding on both parties.

8.6 This Agreement constitutes a complete Agreement between both parties on the agreed matters and other related matters in this Agreement, and does not confer any other rights to the parties to this Agreement except as provided in this Agreement.
